Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Xylem Strategic, LLC (“Xylem,” “we,” “us”). By creating an account or using Xylem, you agree to these Terms and our Privacy Policy. If you use Xylem on behalf of an organization, you represent that you have authority to bind that organization.

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. The Service is intended for business use in connection with marketplace brand operations.

You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Provide accurate information and promptly update it when it changes. Notify us if you suspect unauthorized access.

You may only connect marketplace accounts that you own or are authorized to manage. You are responsible for complying with marketplace terms, policies, and API requirements applicable to your use. Xylem does not claim endorsement by Amazon or any other marketplace.

Integrations with third-party services (including marketplaces and authentication providers) are subject to those parties' terms. Availability of specific integrations may change as platforms evolve.

You agree not to:

• Violate law, marketplace policies, or third-party rights
• Probe, abuse, or disrupt the Service or related systems
• Attempt to access data that is not yours
• Misrepresent affiliation with Xylem or any marketplace
• Use the Service to submit unlawful, deceptive, or infringing content
• Circumvent authentication, rate limits, or security controls

You retain rights to content and data you submit to Xylem (“Customer Content”), including product information, listing copy, assets, and uploaded reports. You grant Xylem a limited license to host, process, and display Customer Content solely to provide and improve the Service as described in our Privacy Policy.

You represent that you have the rights needed to submit Customer Content and to authorize marketplace actions you request through Xylem.

Xylem may offer AI-assisted analysis, recommendations, draft listing content, summarization, or similar features. AI output is assistive: it is not inherently correct, is not a guarantee of marketplace outcomes, and is not financial, legal, medical, or other professional advice.

You are responsible for reviewing generated material before publishing or acting on it. Do not treat AI-generated listing copy as the authoritative source of product specifications. You remain responsible for ensuring published materials do not infringe third-party intellectual property or violate marketplace rules.

Xylem and its licensors own the Service, including software, design, and branding. These Terms do not transfer ownership of Xylem IP to you. Feedback you provide may be used to improve the Service without obligation.

AI-generated output is not guaranteed to be free of third-party IP issues, and copyright treatment of AI-assisted works can vary by jurisdiction. You are responsible for rights clearance of materials you publish.

Pricing, packing, and billing terms (if any) will be presented at the time of purchase or in a separate order form / quote. If no paid plan is active, the Service may be offered in preview or limited form without charge. We may change prices with notice for renewal periods as permitted by applicable agreements.

We may modify, suspend, or discontinue features with reasonable notice when practical. We aim for reliable availability but do not guarantee uninterrupted operation. Maintenance, platform outages, and marketplace API changes can affect functionality.

You may stop using the Service at any time and may request account deletion through Data requests. We may suspend or terminate access for violations of these Terms, risk to the Service or other users, or non-payment where applicable. Provisions that by nature should survive will survive termination.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Marketplace performance and recommendations involve uncertainty; we do not warrant specific commercial results.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XYLEM STRATEGIC, LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT HAD A PAID SUBSCRIPTION).

You agree to indemnify and hold Xylem Strategic, LLC harmless from claims arising out of Customer Content, marketplace actions you authorize, or your violation of these Terms or applicable law, to the extent permitted by law.

Governing law will be specified in a later revision of these Terms or in a separate commercial agreement once the operating jurisdiction is finalized.
